Be a team leader, guiding the secretarial team on day-to-day functions, keen to learn, can-do attitude, confidence to take ownership of the assigned tasks, ability to handle multiple tasks, and excellent communication skills both oral and written. To provide accurate and timely Management Information.
Ø Prepare and file forms, returns, and applications with Govt. Authorities like the Ministry of Corporate Affairs, Ministry of Industry and Commerce Reserve Bank of India, Financial Intelligence Unit, etc., Prepare and File various e-forms on the MCA portal
Ø Well conversant with MCA-21, i.e. online filing, online inspection.
Ø To Arrange the documents required from the Secretarial department for other departments such as Marketing, Finance, etc.,& Maintenance and update of statutory Registers and Records.
Ø Reorganization of company like change in authorized capital, change of name, Shifting of Registered Office of the Company from one state to another and alteration in MOA & AOA.
Ø Preparation of Director’s Report and Annual Return, Filing of Balance Sheet and Profit & Loss Account in XBRL.
Ø Incorporation of Companies, Formation of Firm.
Ø Handling of various Company matters Issue, Allotment, Transfer, Transmission and Transposition of Shares, Issue of Share Certificates and Duplicate Share Certificates (including Preferential allotment and Right Issue) and declaration of Dividend and Creation and Modification of Charges.
Ø To Assist in the preparation of the annual report of the company.
Ø To ensure all the timely compliances of Companies Act, 2013 and rules; compliance under SEBI listing regulations, and RBI norms.
Ø Inter-departmental - legal, Finance, Accounts, Tax, etc., and providing necessary information. Ensure all compliance includes filing the forms.
Ø Preparation of Annual Reports, Notice, agenda, Directors' reports, and documents related to Directors like declaration u/s 274 (1)(g) and ensuring compilation and regular update of all statutory records.
Ø Keeping updated on recent modifications/amendments in Company Law, rules & regulations.
Legal Work:
Ø To Assist in Drafting of Various types of Agreements & Deeds.
Ø Coordinate with Legal Consultants for Legal Due Diligence (land related) of Land-Owning Companies.
Ø To Coordinate with the Advocates in drafting, amendment of Development Management, Joint Development, Joint Venture Agreements
Ø To take Lead in finalization of various Term Sheet and Agreement with prospective clients.
Ø Dealing with RBI and other Government Authorities
