Job Description

Role & responsibilities

1. Statutory Compliance & Filings

  • Assist in preparing and filing statutory returns and forms with the Registrar of Companies (ROC) and other regulatory authorities.
  • Support in maintaining compliance with the Companies Act, 2013 and related rules.
  • Track due dates and ensure timely submission of annual returns, financial statements, and event-based filings.
  • Prepare and maintain statutory registers, records, and minute books.

2. Board & General Meeting Support

  • Assist in drafting agenda papers, notices, minutes, and resolutions for Board, Committee, and General Meetings.
  • Coordinate logistics for meetings, including scheduling, documentation, and follow-ups.
  • Support in preparing reports or documentation required by directors and senior management.

3. Secretarial Documentation & Record Management

  • Maintain updated records of share capital, share transfers, and other corporate documents.
  • Assist in drafting routine secretarial documents, compliance checklists, and internal reports.
  • Handle secure filing, data management, and retrieval of company records.

4. Compliance Monitoring & Research

  • Support in monitoring applicable regulatory changes and prepare compliance updates.
  • Conduct basic research on corporate law, SEBI regulations (if applicable), and governance best practices.
  • Assist in developing internal compliance trackers and checklists.

5. Liaison & Coordination

  • Coordinate with internal departments, auditors, consultants, and regulatory authorities when required.
  • Provide support in responding to compliance-related queries from management.

Required Skills & Qualifications

  • Semi-qualified Company Secretary (CS Executive passed or pursuing CS Professional).
  • Basic understanding of the Companies Act, 2013, secretarial standards, and corporate governance practices.
  • Strong drafting, documentation, and organizational skills.
  • Proficiency in MS Office (Word, Excel, PowerPoint).
  • Good communication skills and attention to detail.
  • Ability to manage multiple tasks and meet deadlines.

Preferred Experience

  • 0 - 3 years of experience in secretarial or compliance roles (internship experience also considered).
  • Exposure to MCA portal filings and ROC documentation is an advantage.
  • Have completed the artcileship with a good exposure.
