Opening For Senior Legal Counsel - Contracts

We are currently looking for a Senior Legal Counsel - Contracts to join our Wind vertical at our Chennai location.

Roles and responsibilities:

1. End-to-End Customer Contract Leadership

• Lead the drafting, review, and negotiation of the full suite of high-value wind turbine project contracts: Turbine Supply Agreements (TSA), long-term Operations & Maintenance (O&M) agreements, and Commissioning support contracts.
• Advise on and structure sophisticated commercial terms, including tiered liability regimes, performance guarantees (Power Curve and Availability), warranties, penalties, and viable Liquidated Damages (LD) provisions.
• Crucially, you will own the mitigation of "Interface Risk," ensuring a seamless and clearly defined contractual boundary between our scope and the customer's Balance of Plant (BoP) works.

2. Project Execution & Lifecycle Support

• Serve as the legal backbone for our project management teams during construction, commissioning, and testing, providing real-time advice on contractual rights and obligations.
• Advise on regulatory compliance, necessary permits, and environmental/safety laws impacting project delivery.
• Lead the resolution of commercial claims and disputes related to warranty, performance shortfalls, or project delays, with a focus on preserving long-term customer relationships.

3. Supplier & Procurement Contracts

• Negotiate and draft contracts for the procurement of critical turbines components, logistics, and specialized services.
• Ensure supplier and vendor contracts include clear scopes of work, timelines, KPIs, robust liability clauses, and clear termination rights to protect project schedules and budgets.
• Partner with the procurement and project teams to actively manage and mitigate supply chain risk.

4. Strategic Risk Management & Governance

• Act as the primary advisor to senior management on legal and commercial risk exposure across all projects.
• Develop and implement standardized contract templates, legal playbooks, and checklists to drive efficiency and consistency across the business.

5. Expertise in Contract Law:

• Mastery of drafting and negotiating a wide array of commercial agreements, with a deep understanding of how to structure clauses to protect long-term interests.
• Corporate Governance Acumen: Solid knowledge of corporate law (e.g., Companies Act, SEBI regulations) to ensure high-value project commitments are managed in accordance with corporate policies and receive appropriate board-level review.
• Regulatory & Compliance: Deep familiarity with the energy sector regulatory landscape and a proven ability to ensure projects adhere to all statutory and contractual compliance obligations.
• Intellectual Property (IP): Working knowledge of IP law, particularly as it relates to technology licensing and confidentiality.
• Cross-Border Transactions: Experience with international contracts, trade laws, and managing issues related to global supply chains.

Qualification: A law degree (LLB, or equivalent) from a reputed university

Required experience:12+years of relevant legal experience from Solar/Wind OEMs
