We are seeking an experienced Senior Legal Counsel to support the Head of Legal in the Legal function. This role will provide proactive, value-added, and practical legal advice to the business, covering a wide range of commercial matters, including market access and pricing, distribution chain risks, business development, regulatory and privacy issues, as well as the negotiation and drafting of key agreements. The Senior Legal Counsel will also work closely with the Intellectual Property (IP) and IP Litigation teams, supporting patent and patent litigation matters. Key Responsibilities: Provide legal advice and guidance on various business and commercial matters, including market access, pricing, distribution chain risks, regulatory and privacy issues, and business development. Draft, review, negotiate, and finalize business and commercial contracts, agreements, and documents. Advise on IP litigation matters filed by or against the company, ensuring effective management of external counsel and associated costs. Manage non-IP litigation/disputes (product liability, HR, trade associations, counterfeiting, commercial matters) initiated by or against the company. Support internal investigations, including regulatory, competition, privacy, or tax-related investigations, and assist in the development and implementation of SOPs to manage such investigations. Collaborate with external legal counsel on assigned cases, managing external counsel's fees while ensuring quality and timely legal services. Provide continuous legal and compliance training to internal stakeholders and teams across various departments. Liaise with external stakeholders, such as government authorities, statutory bodies, and other legal entities, as required. Support the legal function in various day-to-day activities, such as the development and implementation of legal systems, processes, and training programs. Monitor changes in relevant legislation and regulations and assess their impact on the company. Represent the company in court or before relevant authorities when required. Assist the Head of Legal with other legal matters and special projects as assigned. Key Skills & Experience: Qualified LL.B. with 10-15 years of experience in a legal capacity, preferably with experience in multinational companies and publicly listed firms. Strong working knowledge of corporate, commercial, IP (primarily patents), and litigation law, with specific knowledge of the pharmaceutical industry being an advantage. Expertise in managing litigation matters and external counsel, with the ability to handle complex legal issues. Ability to interact and influence cross-functional teams, delivering effective legal solutions and outcomes. Strong oral and written communication skills, with attention to detail and the ability to work independently. High ethical standards and confidentiality in handling legal matters. Proficient in problem-solving, decision-making, and prioritizing tasks in a fast-paced environment. Strong interpersonal skills, including flexibility and adaptability in working with diverse teams. Activities: In-depth knowledge of applicable laws and regulations, especially in corporate, commercial, competition, and intellectual property (IP) law. Assist with ongoing litigation and manage external counsel effectively. Independently draft, review, and negotiate agreements, particularly in commercial and operational areas. Implement and maintain effective document management systems for the legal department. Stay updated on case law developments and regulatory changes, assessing their impact on the company. Provide legal support for trademark activities and agreements/POAs. Represent the company before courts and relevant authorities when necessary. Coordinate with external advocates on court matters and assist in legal proceedings.
