Job Description

You will act as the legal command center across all verticals and jurisdictions, managing internal teams, law firms, and global compliance systems.

1. Global Entity Structuring

Design legal entity structures across India, UAE, USA, Singapore, UK, and other priority jurisdictions

Align holding company, operating subsidiaries, and joint ventures with investor/tax strategy

Lead incorporation, MOA/AOA drafting, and inter-company agreements

2. Legal Oversight & Compliance Frameworks

Build and maintain regulatory compliance across company types: LLPs, Pvt Ltds, PE, VC, Hedge Fund, etc.

Establish legal documentation, policy manuals, licensing pathways, and risk registers

Ensure adherence to RBI, SEBI, MCA, NABL, FATF, and foreign compliance frameworks

3. Contracting & Commercial Legal

Draft, vet, and negotiate contracts, NDAs, MOUs, shareholder agreements, SLAs, IP licensing, etc.

Standardize contract lifecycle processes across industries (consulting, software, BPO, ship repair, etc.)

Maintain a digital contract repository and alert system for renewals and reviews

4. Investor & Deal Structuring

Support legal and compliance aspects of \$136M fund raise (loan/debt structure with equity linkage)

Design SAFE, convertible, debenture, and JV-based instruments aligned with business strategy

Coordinate with external legal counsel for due diligence, term sheets, and deal closures

5. Dispute Management & Risk Advisory

Handle internal conflicts, client/vendor disputes, and arbitration strategies
Mitigate legal exposure in contracts, liabilities, HR, and partnerships
Advise board and C-suite on legal risks, liability caps, and strategic defense
Ideal Candidate Profile
10-18 years of legal experience in corporate law, structuring, regulatory affairs, and compliance
Background in cross-border structuring, dealmaking, and startup/fund law
Strong understanding of SEBI, RBI, FDI, FCRA, and UAE/US/SG compliance pathways
