What does the team do?

The legal team is responsible for supervising the legal affairs of the company with a pre-dominant focus on handling all general corporate and commercial matters that includes supervising the closure of all of company’s managed serve and self-serve advertising deals, content monetization deals, user-acquisition deals, marketing/branding deals, deals pertaining to vendors (that MTPL wishes to onboard) and employment related contracts.

What you'll Do?

1. Draft, review and negotiate general corporate/commercial contracts that could potentially include:

1. Digital advertising or promotion agreements.
2. Creator or influencer management agreements.
3. Content partnership agreements.
4. User engagement program agreement
5. Marketing partnership agreements that could include sponsorship agreements (for the sponsorship of various events) and collaboration agreements (for the promotion and marketing of the company’s brands).
6. Volume discount and/or incentive agreements.
7. Procurement Agreements that could potentially include:

• Master Services Agreements for the procurement of a variety of services such as agreements with media/production houses, advertising agencies, logistics service providers, facilities management service providers and software development/IT service providers.
• High value technology agreements that could include on-premise license agreements, SaaS agreements, PaaS agreements, IaaS agreements and software reseller agreements.
• Staffing Agreements
• Recruitment Services Agreements
• Lease Agreements

2. General corporate/commercial advisory that could include advising on information technology, privacy, intellectual property, online gaming, open source and employment related laws.

3. Lead, manage and groom a team of 2 to 4 lawyers.

4. Collaborate with internal stakeholders, assist and provide direction to such stakeholders in making key business decisions.

5. Litigation management – Collaborate and coordinate with external counsels to come up with strategic solutions in connection with litigation matters that the company is party to and advising the senior management on such matters.

6. Due-diligence assistance – Collaborate with the company secretary of the company and external investors on due-diligences that the company may be party to.

7. IP prosecution – Coordinating and collaborating with our external counsels on matters in relation to the prosecution of the company’s IP filings before the relevant statutory authority.

8. HR team assistance – Collaborating and advising the HR team on employee grievances that requires the intervention of the legal team.

9. Contract repository management – Working closely with the rest of the members in the legal team in ensuring that all agreements executed are stored in the relevant contract repository of the company.

• Law graduate
• 8-12 years of experience in the IT/Internet/Media industry.
