Job Description

Key ResponsibilitiesStatutory Compliance & GovernanceEnsure compliance with the Companies Act, SEBI regulations (if applicable), FEMA, and other applicable corporate laws. Maintain statutory books and registers, including minutes of Board and General Meetings. Draft board resolutions, notices, agendas, and minutes for Board/Committee/Shareholders' meetings. Handle filings with the Ministry of Corporate Affairs (MCA), Registrar of Companies (ROC), and other regulatory bodies. Legal & RegulatoryMonitor changes in relevant legislation and the regulatory environment and take appropriate action. Liaise with legal advisors, regulators, and auditors as required. Ensure compliance with licenses, permits, and industry-specific regulatory requirements related to amusement rides and infrastructure. Board Support & Corporate GovernanceProvide secretarial support to the Board and its committees. Ensure timely dissemination of information and documents to directors and shareholders. Advise the Board on corporate governance best practices and ethics. Records & DocumentationMaintain company records, contracts, agreements, and legal documents. Oversee proper documentation of shareholding patterns, share transfers, and issuance of shares. Risk & Audit SupportCoordinate with auditors for secretarial and statutory audits. Support risk management and ensure that company activities align with internal controls and policies. Other ResponsibilitiesSupport corporate restructuring, mergers/acquisitions, and investor relations, if applicable. Coordinate with cross-functional teams for internal compliance and documentation. Assist in company policies, standard operating procedures, and internal governance frameworks. Qualifications & SkillsEducation: Qualified Company Secretary (CS) from ICSI. Experience: 5–10 years of post-qualification experience in a corporate or manufacturing/infrastructure company, preferably in the amusement, engineering, or infrastructure sector. Key Skills: In-depth knowledge of corporate and regulatory frameworks. Strong communication, drafting, and interpersonal skills. Detail-oriented with a proactive and ethical approach. Ability to handle confidential information with discretion.
