Job Title: Company Secretary Location: Noida Department: Legal/Compliance/Corporate Governance Reports To: Board of Directors/Managing Director Job Type: Full-time Job Summary: The Company Secretary is a key governance professional responsible for ensuring that the company complies with legal and regulatory requirements, maintaining high standards of corporate governance, and effectively managing board processes. This role acts as a bridge between the board of directors, management, and shareholders, and plays a crucial role in ensuring the company operates within the legal framework. Key Responsibilities: Corporate Governance: Ensure the company complies with statutory and regulatory requirements. Advise the board on corporate governance best practices. Organize and manage board meetings, committee meetings, and general meetings. Prepare agendas, draft minutes, and follow up on actions from meetings. Legal and Regulatory Compliance: File necessary documents with regulatory bodies such as the Registrar of Companies (ROC), Securities and Exchange Commission (if applicable), etc. Maintain statutory registers and records (e.g., register of members, directors, charges). Monitor changes in relevant legislation and the regulatory environment. Ensure timely and accurate compliance filings. Board Support: Provide guidance to directors on their duties and responsibilities. Assist with board evaluations and performance reviews. Coordinate induction and ongoing training for directors. Liaison and Communication: Act as a point of contact between the company and regulatory authorities. Communicate with shareholders and handle investor relations issues. Draft and review contracts, resolutions, and corporate policies. Qualifications: A qualified Company Secretary (Member of ICSI or equivalent). Degree in Law, Business Administration, or a related field is a plus. Strong knowledge of corporate laws, SEBI/stock exchange regulations, and corporate governance practices. Skills & Competencies: Excellent written and verbal communication skills. Attention to detail and high levels of integrity. Strong organizational and time-management abilities. Proficient in MS Office and legal compliance tools. Ability to work under pressure and meet deadlines.
