Job Description

The Company Secretary will play a pivotal role in ensuring the organizations compliance with statutory and regulatory requirements. This position is responsible for upholding high standards of corporate governance, managing board and committee processes, overseeing legal documentation, and serving as the key link between management, the Board of Directors, and regulatory authorities.

Key Responsibilities:

1. Statutory Compliance & Governance

  • Ensure compliance with the Companies Act, 2013 and other applicable corporate laws.
  • Maintain statutory registers, records, and ensure timely filings with MCA/ROC.
  • Draft, review, and file resolutions, returns, and statutory forms.
  • Support management in implementing best practices in corporate governance.

2. Board & Committee Management

  • Plan, organize, and conduct Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
  • Prepare and circulate agendas, notices, and minutes for Board and Committee meetings.
  • Ensure accurate recording, approval, and implementation of Board decisions and resolutions.

3. Legal & Contract Management

  • Draft, review, and vet contracts, agreements, and MoUs related to business and construction operations.
  • Coordinate with external legal counsel on litigation, arbitration, and dispute resolution.
  • Conduct legal risk assessments and maintain proper legal documentation.

4. Corporate Governance Advisory

  • Advise the Board and management on governance and compliance best practices.
  • Stay updated on amendments in corporate and securities laws and implement necessary process improvements.
  • Support Board evaluations, policy development, and compliance monitoring activities.

5. Liaison & Coordination

  • Act as the primary liaison with regulatory authorities such as MCA, SEBI (if applicable), RERA, and other statutory bodies.
  • Coordinate with auditors, consultants, and internal teams for governance, audit, and compliance matters.
  • Foster cross-functional collaboration to ensure smooth and compliant organizational operations.

Qualifications & Experience:

  • Education:

    Qualified Company Secretary (CS) from ICSI.
  • Experience:

    810 years of post-qualification experience in corporate secretarial, legal, and compliance functions, preferably in infrastructure, construction, or EPC industries.
  • Knowledge:

    Strong command of the Companies Act, SEBI Regulations, RERA, and Contract Law.
  • Skills:

    Excellent drafting, communication, organizational, and time management skills with high attention to detail.
