Key Responsibilities:

• Board & Committee Support:

• Prepare agenda, notices, and minutes for Board Meetings, Committee Meetings, and Annual General Meetings.

• Regulatory Compliance:

• Ensure compliance under SEBI LODR, 2015, SEBI Insider Trading Regulations, and SAST Regulations.
• Handle filings with stock exchanges and respond to notices/queries from statutory authorities.

• Legal Documentation:

• Draft, review, and vet agreements, Power of Attorney, Affidavits, Undertakings, Bonds, etc.
• Manage legal tools for compliance tracking.

• Liaison & Coordination:

• Coordinate with advocates, consultants, MCA, ROC, SEBI, and other regulatory bodies.

• Reporting & Updates:

• Prepare presentations and provide updates on legal and regulatory changes.
• Assist in preparation of Annual Report, BRSR, and MDA.

• CSR & Statutory Filings:

• Ensure CSR compliance.
• Handle ROC filings and IEPF compliance.

Qualifications & Skills:

• Mandatory:

  Associate Company Secretary (ACS) from ICSI.
• 24 years of experience in corporate compliance and legal documentation.
• Strong knowledge of Companies Act, SEBI regulations, and corporate governance.
• Excellent drafting, communication, and presentation skills.
• Proficiency in MS Office and compliance management tools.
