Assistant Company Secretary

Key Responsibilities:

  1. Regulatory Compliance and Filings:

  • Assist the Company Secretary in ensuring compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and other applicable laws and regulations.
  • Prepare and file statutory returns, disclosures, and reports with SEBI, BSE, RBI, and MCA.
  • Ensure timely compliance with listing obligations and disclosure requirements.
  1. Corporate Governance:

  • Support the implementation of corporate governance best practices for a listed entity.
  • Maintain statutory records, registers, and documentation as required under regulatory frameworks.
  1. Board and Shareholder Meetings:

  • Assist in preparing agendas, notices, and minutes for board meetings, annual general meetings, and committee meetings.
  • Coordinate with directors, stakeholders, and other parties to ensure smooth meeting execution and follow-ups.
  1. Liaison Activities:

  • Act as a point of contact with regulatory authorities, stock exchanges, depositories, and external advisors.
  • Assist in coordinating with auditors, legal advisors, and consultants for compliance-related matters.
  1. Documentation and Reporting:

  • Draft resolutions, agreements, and reports for regulatory submissions.
  • Assist in preparing corporate announcements, annual reports, and disclosures required for listed entities.
  1. Training and Development:

  • Stay updated with amendments and guidelines issued by SEBI, BSE, RBI, and MCA.
  • Actively participate in training sessions and contribute to process improvements.

Required Qualifications and Skills:

  1. Educational Background:

  • Bachelors degree in Commerce, Business Administration, or Law.
  • Qualified or semi-qualified Company Secretary from the Institute of Company Secretaries of India (ICSI).
  1. Experience:

  • Candidates with 02 years of experience in secretarial work, preferably in a listed company, are encouraged to apply.
  1. Skills:

  • Knowledge of SEBI regulations, stock exchange compliance, and RBI filings.
  • Familiarity with corporate laws, governance standards, and secretarial practices.
  • Proficiency in MS Office (Word, Excel, PowerPoint) and compliance tools.
  • Excellent organizational, communication, and analytical skills.
