Job Description

  • Ensure developing expertise for Acquisition Finance and being abreast with the developments in the related sector.
  • Ensure comprehensive information gathering through client meetings, attending conferences and review of various documents.
  • Analyze financial aspects using advanced financial modeling, benchmarking, scenario analysis, sensitivity analysis, and stress testing.
  • Review of valuation of the target company, cash flows, debt service coverage ratios, and other financial indicators to assess the financial feasibility and profitability of Acquirer as well as that of Acquiree.
  • Ensure SPA / SHA, including other documents (concession agreements, purchase agreements, and off-take agreements, Escrow Agreements etc).
  • Engage in deal discussions with internal stakeholders and contribute to term sheet preparation and negotiation.
  • Manage timely submission of Credit Approval Memos (CAM) to the Sanctioning Authority for deal approval.
  • Ensure compliance with internal policies, external regulations, and industry best practices.

  • Continuously review existing processes to optimize efficiency and effectiveness.
  • Ensure process compliance, credit analysis, and risk assessment processes
  • Review appraisal, financial modeling, Valuation and scenario analysis
  • Ensures complete compliance to all processes/requirements.
  • Ensure implementation of risk mitigation strategies associated with Acquisition Finance activities.
  • Ensure regular portfolio reviews to identify and address emerging risks.
  • Establish credit risk assessment frameworks and models for Acquisition Finance transactions.
  • Monitor market, operational, and regulatory risks associated with Acquisition Finance activities.
  • Stay updated on industry best practices and regulatory requirements related to risk management.
  • Ensure adherence to legal documentation process, including the appointment of Legal Due Diligence (LLC).
  • Participate in discussions for deal closure, ensuring compliance with the Comprehensive Project (CP) requirements.
  • Ensure proper site visits and facilitate consortium meetings and interactions with key external stakeholders.
  • Disseminate industry knowledge internally, focusing on recent developments in the Acquisition Finance, update on M&A deals, in various sectors.
  • Driving business development
  • Facilitate deal structuring initiatives, crafting win-win solutions for both the bank and clients.
  • Manage internal credit rating revamping, standardization of term sheets, digital banking initiatives, and other such initiatives.
  • Promote the organization's culture across the team to ensure its alignment with the required and desired behaviors.
  • Instill a culture of continuous development and performance.
  • Lead by example by encouraging teamwork, driving results and excellence, developing, and grooming talent and demonstrating role modelling behavior.
