Job Description

Role & responsibilities

COMPANIES ACT (Primary)

Preparation of notice, agenda & other documents for Board meeting, committee meetings as per timelines.
Conducting meetings as per Companies Act
Drafting of Minutes
Filing various forms on MCA Portal, Stock Exchanges and other regulatory authorities.
Preparation of Directors Report
Annual filling with ROC
CSR Compliances
Monitoring and updating Website Compliances

SEBI & STOCK EXCHANGE COMPLIANCE (Primary)

Quarterly compliance submission to BSE/NSE i.e. AIML, cyber incident, surveillance obligation, investor grievance
Obtaining approvals from stock exchanges for change in directors.
Half yearly net worth filing with stock exchanges
Annual net worth filing with stock exchanges
Cyber Security Audit in consultation with IT manager
Internal Audit for stock exchanges
Co-ordination with Office of CAG for appointment of statutory auditors
Submission of financials to CAG

AUDIT (Secondary)

Assisting in attending to Secretarial Audit, Internal Audit, Management Audit, Statutory Auditor, CAG Audit (as applicable), NSE/BSE Audit, etc.

CO-ORDINATION WITH BANK FOR MATTERS RELATED TO (Primary)

Compliance Certificate
Preventive Vigilance Compliance
Risk Management
Board Secretariat

OTHER (Primary)

Assisting in preparation of various policies
To ensure maintenance of records
