Job Description

To assist the Company Secretary in ensuring timely compliance with all corporate governance, SEBI (LODR), Companies Act, and related statutory requirements applicable to a listed company, and to support Board, shareholder, and regulatory matters efficiently.


Key Responsibilities:


1. Secretarial & Compliance:

  • Ensure end-to-end compliance under the Companies Act, 2013, SEBI (LODR) Regulations, 2015, SEBI (PIT) Regulations, and other applicable laws.
  • Prepare and file ROC forms, annual returns, event-based filings, and maintain statutory registers.
  • Assist in drafting and reviewing Board, Committee, and General Meeting notices, agendas, and minutes.
  • Coordinate and ensure timely Board/Committee meeting compliances (Audit, Nomination, CSR, etc.).
  • Handle stock exchange filings (NSE/BSE) — disclosure management, XBRL filings, SDD, and response to exchange queries.
  • Support in the preparation of annual report, corporate governance report, shareholding patterns, and other SEBI-mandated disclosures.

2. Liaison & Coordination:

  • Liaise with registrar & share transfer agents (RTA), depositories, auditors, stock exchanges, and regulatory authorities.
  • Assist in shareholder communication, dividend processes, and handling investor grievances.

3. Governance & Advisory:

  • Support implementation of good corporate governance practices and compliance monitoring systems.
  • Assist in drafting and updating policies and codes (Code of Conduct, Insider Trading Policy, etc.).
  • Track and analyze changes in relevant laws and prepare compliance updates.

4. Other Responsibilities:

  • Support in certification and audit requirements (Secretarial Audit, SEBI, internal audit, etc.).
  • Assist in ESOP administration, capital restructuring, and other corporate actions.
  • Maintain records and assist in conducting board and other meetings and documentation thereof.


Desired Candidate Profile:

  • Qualified Company Secretary (ACS) with 4–5 years of post-qualification experience.
  • Mandatory: Hands-on experience in listed company compliances.
  • Strong knowledge of Companies Act, SEBI Regulations, LODR, PIT, Depositories Act, etc.
  • Excellent drafting, communication, and coordination skills.
  • Proficiency in MCA & SEBI portals, stock exchange filing platforms, and MS Office tools.
