Manager - Company Secretary

The incumbent will be responsible for all the secretarial compliances under the company law

a) Requiring day to day compliance under the companies act 2013.

b) Maintaining all the statutory registers under Companies Act.

c) Preparation of the Board Meeting Agenda, Notice and Minutes.

d) Annual Secretarial Compliances including Board Report preparation and filings including MGT 7, AOC 4 etc.

e) Preparing the capital call for the purpose of capital issuance along with allotment of the same and compliance to various terms of the issue

f) Review and execute various documents like Debenture Trustee Deed, Share Pledge arrangements etc.

g) Execute end to end functions for various secretarial compliance like dematerialization of shares, debentures

h) Filing various forms and returns, resolutions with ROC for companies act, MSME act

i) Working knowledge of FEMA and filing the returns like FCGPR and ECB

j) Conducting the Board and AGM

k) Assist in the vendor legal due diligence and submitting all the data

l) Support for statutory audit for company law compliance

m) Assist in establishment of overall compliance mechanism.

- The incumbent should be ready to work in a startup and agile enough to operate in a dynamic environment working on multiple projects simultaneously.

- The incumbent should be a self-starter with minimum supervision and able to prioritize the outcomes for surprise free operations.

CS with 5-7 years of post-qualification experience and excellent communication skills are required.
