Job Description

We are a fastgrowing SEAfocused startup building SAAS products for restaurants and small and medium retailers to automate marketing and build consumer loyalty. As our inhouse legal counsel, you'll work directly with founders and business teams. This is a highownership role for a selfstarter who thrives in ambiguity, enjoys problemsolving, and proactively builds simple processes to keep the business agile while safeguarding compliance.

What you'll do


  • Commercial contracting (50%)

  • Draft, review, and negotiate core agreements: vendor/supplier contracts, SaaS/tech agreements, NDAs, marketing service contracts, partnership agreements, and SLAs.
  • Provide practical, business-friendly advice to sales, procurement, and product teams on risk, liability, IP, and compliance.
  • Maintain basic templates and ensure smooth contract intake and closure with minimal friction.
  • Company secretarial compliance (20%)

  • Support board/shareholder resolutions, filings, and registers under the Companies Act with external CS teams.
  • Ensure compliance with applicable sector specific laws to the products that the team is building, POSH, and other routine statutory obligations.
  • Keep records of key approvals, policies, and filings; assist in fundraising due diligence.
  • Working familiarity with Indian labour laws including ESIC, Gratuity, Contract Labour, and Industrial Dispute) and ability to coordinate with HR/external counsel on employment-related queries.
  • Experience handling POSH compliance and providing basic guidance on employee terminations, workplace policies, and labour authority notices in Gujarat.
  • Tech law data privacy (20%)

  • Draft/review data privacy clauses, DPDP Act addenda, and IT/tech terms of use.
  • Advise product/tech teams on user agreements, TCs, privacy policies, cookie policies, and advertising/IT/telecom regulations.
  • Track SEA regional data protection developments and align contracts/policies accordingly.
  • Dispute pre-litigation (10%)

  • Draft/reply to legal notices; coordinate with Gujarat-based counsels for MSME, arbitration, consumer, labour, or commercial disputes.
  • Manage evidence collation, external counsel communication, and strategy notes for early settlement.

Requirements

  • LL.B.

    from a recognised university; enrolment with State Bar Council. (CS preferred but not mandatory.)
  • 2 3 years

    PQE in a law firm or in-house legal team with contract drafting exposure.
  • Working knowledge of Companies Act filings, board/shareholder compliance, and coordinating with external CS/counsels.
  • Experience advising on tech laws, IT contracts, and data protection and privacy laws (DPDP Act 2023, privacy policies, user terms).
  • Familiarity with pre-litigation steps and coordination of Gujarat dispute matters.
  • Proactive, organised, and a self-starter able to set up simple legal processes from scratch.
  • Strong written spoken English; Hindi/Gujarati fluency is a plus.
