What will you drive?

Company Secretary (CS)

This high-impact role is ideal for someone with a deep understanding of regulatory frameworks and experience managing IPOs and post-listing obligations in a dynamic, fast-paced environment.


1. IPO Readiness & Execution

  • Drive and manage the end-to-end IPO process, ensuring adherence to SEBI (ICDR) regulations and stock exchange listing requirements.
  • Coordinate with investment bankers, legal counsels, auditors, and regulatory authorities to facilitate smooth IPO execution.
  • Assist in drafting the Red Herring Prospectus (RHP), Offer Documents, and related regulatory filings.
  • Oversee due diligence processes, ensuring all statutory disclosures and compliance requirements are met.
  • Manage pre-IPO restructuring, ESOP structuring, and corporate governance frameworks to align with listing requirements.

2. Corporate Governance & Regulatory Compliance

  • Ensure adherence to Companies Act, SEBI LODR (Listing Obligations and Disclosure Requirements), and other applicable regulations.
  • Organize and manage board meetings, general meetings, and committee meetings, including preparation of agendas, minutes, and resolutions.
  • Ensure timely submission of periodic disclosures, returns, and filings with SEBI, MCA, and stock exchanges.
  • Maintain statutory records and registers as per the Companies Act and listing requirements.
  • Implement best practices in corporate governance, aligning with shareholder interests and regulatory expectations.

3. Post-Listing Compliance & Stakeholder Management

  • Ensure continuous compliance with listing regulations, insider trading guidelines, and corporate governance norms post-IPO.
  • Manage investor relations by coordinating with shareholders, analysts, and regulators on disclosures and company performance.
  • Handle secretarial audits, compliance certifications, and statutory reporting as per listing guidelines.
  • Monitor evolving regulatory frameworks and advise leadership on necessary compliance adjustments.

  • Regulatory Knowledge:

    Strong understanding of the Companies Act, SEBI LODR, Insider Trading Regulations, and FEMA.
  • Corporate Governance:

    Experience in board governance, shareholder management, and statutory compliance.
  • Stakeholder Management:

    Ability to coordinate effectively with regulators, investors, legal advisors, and auditors.
  • Documentation & Reporting:

    Expertise in preparing regulatory filings, board resolutions, and compliance reports.
  • Attention to Detail:

    High accuracy in managing legal and regulatory documentation.
  • Analytical & Problem-Solving:

    Ability to interpret complex regulations and provide actionable solutions.
