General Legal Counsel -Leading Gems & Jewellery Company - Mumbai (BKC)

Job Purpose:

We are seeking an experienced, strategic, and proactive General Legal Counsel. The General Legal Counsel will oversee all legal aspects of the company's operations, ensuring compliance with applicable laws, managing legal risks, and providing counsel to executive leadership. The ideal candidate will have a proven track record in corporate law, strong negotiation skills, and the ability to think creatively to address complex legal challenges in a dynamic business environment.

Key Responsibilities:

• Legal Advisory

  : Provide strategic legal advice and guidance to the CEO, Board of Directors, and senior management on a wide range of issues, including corporate governance, commercial contracts, employment law, intellectual property, mergers and acquisitions, and regulatory compliance.

• Risk Management

  : Identify potential legal risks and develop strategies to mitigate them. Provide counsel on litigation and disputes, working with outside counsel as necessary.

• Corporate Governance

  : Ensure compliance with corporate governance standards, maintain corporate records, and ensure that board meetings and company documentation comply with legal requirements.

• Contract Management

  : Oversee the review, negotiation, and drafting of commercial contracts, including vendor agreements, customer agreements, NDAs, and other legal documents to protect the companys interests.

• Regulatory Compliance

  : Stay current with industry-specific regulations, legal changes, and updates. Advise the company on changes in laws and regulations affecting the business and lead compliance initiatives.

• Mergers and Acquisitions

  : Provide legal support for mergers, acquisitions, and other corporate transactions, including due diligence, deal structuring, and contract negotiations.

• Intellectual Property

  : Oversee and manage the company’s intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets. Ensure that the company’s IP is properly protected and leveraged.

• Litigation Management

  : Manage and coordinate any litigation or disputes involving the company, from pre-litigation to settlement or trial. Act as the primary point of contact with external legal counsel.

• Training and Development

  : Develop and deliver legal training for employees on various legal topics, such as compliance, ethical issues, data protection, and contract management.

• Team Leadership

  : Manage and mentor junior legal staff, including contract managers and legal assistants, to ensure the legal department runs smoothly and efficiently.
