Role Overview
This is a senior technical and delivery-focused role with client management experience within the M&A
- Tax & Regulatory practice at Ahmedabad. The role demands deep technical expertise in transaction
tax and regulatory aspects governing mergers, acquisitions, restructurings, and cross-border transaction
structuring. The Director will oversee multidisciplinary transaction mandates and will be responsible for
client advisory, execution, team management, and business growth. This role is ideal for a professional
who enjoys solving complex structuring challenges and partnering closely clients.
Key Responsibilities
- Lead end-to-end M&A engagements including structuring, due diligence, negotiation support,
execution and post-deal integration.
Integrate direct tax laws with regulatory frameworks such as FEMA, SEBI regulations, Companies
Act and other regulatory and allied laws impacting a transaction including but not limited to
sectoral guidelines in each transaction.
- Conduct and supervise buy-side/sell-side due diligence, risk quantification and deal issue analysis.
- Review transaction documents (SPAs, SHAs, BTAs, restructuring schemes, etc.) from both a tax and
regulatory standpoint, highlighting key deal implications.
- Lead and supervise the implementation of restructuring schemes (amalgamation / arrangement),
guiding the team on filings and documentation while liaising with the RoC, Regional Director and
other authorities for approvals and compliance.
- Advise on capital gains, treaty positions, repatriation planning, fund flows, ESOPs, cross-border
tax considerations and succession / estate planning (where relevant).
- Liaise with legal advisors, bankers and investor teams to ensure seamless deal execution.
- Track judicial, legislative and regulatory developments impacting M&A transactions and drive
- Lead proposals, pitches and business development initiatives and support the practice’s overall
internal knowledge initiatives.

- Drive the firm’s thought leadership agenda forward by authoring high-quality tax and regulatory
insights, articles, and speaking at relevant industry platforms.
- Mentor and develop team members within the firm and ensure delivery quality, ownership and
client satisfaction.
