Job Title Company Secretary – Issue of Shares & Dividend Compliance Key Responsibilities 🔹 Issue of Shares Draft and manage documents for issue of shares (equity, preference, bonus, rights, ESOPs). Ensure compliance with the Companies Act, 2013, SEBI regulations, and Articles of Association. Convene and manage Board Meetings, General Meetings, and committee meetings related to share issues. File statutory forms with ROC (e.g., PAS-3, SH-7, MGT-14). Maintain statutory registers (Register of Members, Share Capital). Coordinate with RTA, bankers, legal advisors, and depositories (NSDL/CDSL). Handle share certificates, allotment, transfer, transmission, and dematerialization. 🔹 Dividend Ensure compliance with legal provisions for declaration and payment of dividends. Assist in drafting Board and shareholders’ resolutions for dividend declaration. Manage timelines for dividend payment and transfer to unpaid dividend account. Ensure transfer of unpaid/unclaimed dividend to IEPF and related filings. Maintain records of dividend payments and investor communications. Coordinate with finance and banking teams for dividend disbursement. 🔹 Compliance & Governance Ensure timely statutory filings and disclosures. Advise the Board on corporate governance and secretarial standards. Handle investor queries related to shares and dividends. Support audits, inspections, and regulatory inquiries. Qualifications & Skills Qualified Company Secretary (ICSI). Strong knowledge of Companies Act, SEBI regulations, and secretarial standards. Good drafting, compliance, and coordination skills. Attention to detail and strong time-management abilities. Proficiency in MCA portal and compliance tools.
