We are seeking a Qualified , Semi-Qualified Company Secretary (ICSI) to join our dynamic team at Rashmi & Co. The role involves handling comprehensive responsibilities across various corporate compliance functions, including:

Roles and Responsibilities

Incorporation and Business Registration

• Assist clients in registering new companies, including Private Limited Companies, LLPs, and other business entities.
• Handle the complete process of business registration, ensuring compliance with all statutory requirements.
• Provide advisory services on selecting the appropriate business structure based on client needs.

Compliance Services

• Ensure timely and accurate filing of statutory returns, financial statements, and other required filings with ROC and other regulatory bodies.
• Maintain and update statutory registers as per legal requirements.
• Monitor compliance with applicable laws and regulations and keep clients informed of any changes affecting their business operations.
• Conduct internal audits and compliance checks to ensure adherence to corporate governance standards.

Legal Services

• Draft and review contracts, agreements, and other legal documents on behalf of clients.
• Provide legal advice on matters related to corporate law, labor law, intellectual property, and other relevant areas.
• Liaise with ROC and external legal counsels.

Client Relations and Advisory

• Offer strategic advisory services to clients on corporate governance, mergers and acquisitions, restructuring, and other business activities.
• Organize and prepare agendas, and take minutes for board meetings and AGMs, ensuring compliance with legal requirements.
• Act as a liaison between clients and regulatory authorities to facilitate smooth communication and compliance.

Team Leadership and Development

• Lead and manage a team of apprentices, providing mentorship and guidance.
• Foster a collaborative work environment, encouraging continuous learning and professional development.

Qualifications and Skills

• Semi-qualified CS with a minimum of 1 year of experience.
• Strong analytical skills with the ability to interpret complex legal and financial documents.
• Excellent written and verbal communication skills.
• Strong organizational skills with an ownership mindset and the ability to manage multiple tasks and projects simultaneously.
• Prior experience in a CS/CA firm or as a Company Secretary in a corporate setting is preferred but not mandatory.
• Proficiency in using MS Office and other relevant software tools.
