Job Description

We are looking for a qualified Company Secretary with a strong understanding of corporate laws, governance, and compliance frameworks. The role combines secretarial and legal functions, ensuring statutory compliance, regulatory filings, and effective support to the Board and management in all governance and legal matters.

Key Responsibilities Company Secretarial

  • Ensure the company complies with all statutory obligations under the Companies Act, 2013 and other applicable laws..
  • Maintain and update statutory registers, records, and filings with MCA and other authorities (ROC, SEBI, RBI, etc.).
  • Coordinate and conduct Board and Annual General Meetings (AGMs).
  • Draft and review board resolutions, company policies, and compliance reports.
  • Liaise with regulatory bodies, auditors, and stakeholders as required.

Legal & Compliance

  • Draft, vet, and review contracts, MoUs, NDAs, service agreements, vendor contracts, and other legal documents.
  • Provide legal support on matters related to corporate, commercial, and labor laws.
  • Monitor changes in relevant legislation and regulatory environments and ensure proactive compliance.
  • Manage litigation cases and coordinate with external legal counsel.
  • Support due diligence processes during mergers, acquisitions, or corporate restructuring.
  • Implement and oversee compliance programs, risk management, and internal controls.

Corporate Governance

  • Act as a key advisor to the Board on corporate governance best practices.
  • Ensure transparent communication and documentation for board and shareholder matters.
  • Support ESG, ethics, and governance initiatives as needed.

Qualifications & Experience

  • Qualified Company Secretary (Member of ICSI) – mandatory.
  • Bachelor’s degree in Law (LLB) preferred; LLM will be an added advantage.
  • 4–10 years of experience in company secretarial and legal functions (depending on level).
  • In-depth knowledge of the Companies Act, 2013, SEBI Regulations, FEMA, and related laws.
  • Excellent drafting, communication, and organizational skills.

Job Type: Full-time

Pay: ₹13,082.19 - ₹66,440.66 per month
