Job Description

Role & responsibilities

  • Provide legal, financial, and/or strategic advice during and outside of meetings
  • Ensure policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the committee.
  • Maintain statutory books, including registers of members, directors, and secretaries.
  • Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
  • Liaise with external regulators and advisers such as lawyers and auditors.
  • Implement processes or systems to ensure good management of the organization.
  • Develop and oversee the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
  • Manage contractual agreements with suppliers, customers and Draft Purchase orders, Work orders
  • Guide the chairman and the board to ensure they are operating in accordance with rules and regulations
  • Support the chairman in ensuring the board functions efficiently and effectively
  • Facilitate good communication between the board, committees, senior management and non-executive directors, and shareholders
  • Take responsibility for the administration of the company, for example: maintaining statutory books, including registers of members, directors, and secretaries, and shareholders with all their past and present shareholdings, organizing board meetings and annual general meetings (AGMs), preparing agendas and taking minutes
  • File necessary documents with Companies House, such as annual tax returns and audit reports
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action

Preferred candidate profile

  • Membership of the Institute of Company Secretaries of India is mandatory
  • Experience in the real estate and construction industry would be an added advantage
  • Excellent written and verbal communication skills in English and Hindi
  • Experience in making of Purchase Order against the site Requisition
  • Ability to multi-task and prioritize effectively
  • Expert knowledge of corporate law, legal compliance, and company secretarial matters
  • Confidence to provide support to high-profile company staff and board members
  • Excellent organization and time management
  • A flexible and practical approach to work
  • Meticulous attention to detail and the ability to work well under pressure
  • Interpersonal skills and the ability to work with people at all levels
  • The capability to work with numerical information, plus analytical and problem-solving skills
