Job Description

Role & responsibilities

  • We are seeking an experienced Company Secretary (CS) to lead and manage compliance, governance, and secretarial responsibilitiesespecially with a focus on the Initial Public Offering
  • (IPO) process. The ideal candidate should possess deep knowledge of securities laws, regulatory
  • frameworks, and have hands-on involvement or a strong interest in guiding companies through IPO procedures.

Key Responsibilities:

  • Lead and coordinate the end-to-end IPO process, including comprehensive documentation,
  • submission of regulatory filings, and ensuring timely disclosures in line with SEBI/ICDR guidelines and Companies Act, 2013 requirements.
  • Liaise with external advisors (legal, financial, auditors, merchant bankers, underwriters) to facilitate a seamless IPO journey.
  • Prepare and oversee the drafting of the prospectus and all offer documents, ensuring accuracy and regulatory compliance.
  • Ensure continual adherence to Companies Act, SEBI (LODR), listing regulations, and associated corporate governance standards.
  • Monitor regulatory changes and promptly implement compliance measures, particularly for IPO and listing obligations.
  • Organize and facilitate Board meetings, Shareholder meetings, Committees (including IPO Committee), and AGMs, along with minutes and resolutions.
  • Maintain statutory registers, manage ESOPs, and oversee secretarial records.
  • Engage in ongoing compliance post-IPO reporting, disclosures, and communication with regulators and stakeholders.
  • Foster investor/stakeholder communications through reports, presentations, and explanations on listing and compliance matters.
  • Guide senior management and the Board on evolving governance practices, legal implications, and risks related to public listing.
  • Administer regular compliance audits, risk assessments, and provide training to in-house teams on latest IPO and listing regulations.
  • Oversee RBI/FEMA compliances for overseas subsidiaries and NRI shareholders (as applicable).

Preferred candidate profile :

  • Qualified Company Secretary (ICSI). Additional degrees in Law preferred.
  • 6-7 years of relevant company secretarial experience, preferably with prior exposure to IPO execution or strong interest and working knowledge of IPO lifecycle.
  • Comprehensive understanding of SEBI/ICDR guidelines, Companies Act, 2013, LODR, and listing requirements.
  • Demonstrated ability to manage multiple stakeholders, interactions with statutory bodies (SEBI, RoC, Stock Exchanges).
  • Excellent drafting, analytical, and communication skills.
  • High attention to detail, adaptability, and proven team leadership qualities.
  • Experience in manufacturing, listed, or regulated industry is advantageous but not mandatory.

Preferred Skills:

  • Proficiency in digital secretarial and compliance tools.
  • Sound knowledge of ESOP administration and M&A (if applicable).
  • Strong understanding of RBI/FEMA regulations for companies with international operations (desirable).
