Job Description

Summary:

The Company Secretary / Compliance Officer for our organization is responsible for monitoring and ensuring organizations compliance with company law, regulatory guidelines & stability requirement.

Key Responsibilities:

Monitor regulatory updates from RBI and other statutory authorities, assess their impact on policies and operations, and ensure timely implementation across the organization.
Prepare and submit periodic returns to regulators, act as the primary point of contact for regulatory queries, and report compliance issues to the Board or Audit Committee.
Conduct compliance testing, reviews, and internal audits; coordinate and manage RBI inspections and ensure timely closure of inspection findings.
Conduct Board Meetings and General Meetings, including preparation of agenda, notes to agenda, minutes of meetings, and ensuring compliance with Companies Act, 2013 and Secretarial Standards.
Provide advisory support on loan proposals, contracts, and legal matters; handle litigation matters and statutory filings with the MCA and RBI.
Develop and implement compliance policies, manuals, and training programs; oversee conflict of interest, fair customer treatment, and market conduct standards.
