Role & responsibilities

Role Overview:

We are seeking a qualified and experienced professional to serve as our Company Secretary & Legal Compliance. This dual-role position is critical to ensuring our corporate governance standards and legal obligations are met with precision and integrity.

Key Responsibilities:

Company Secretarial Duties

  • Ensure full compliance with the Companies Act, SEBI regulations, and other applicable corporate laws.
  • Maintain statutory registers, records, and filings with ROC, MCA, and other authorities.
  • Convene and manage Board Meetings, AGMs, and EGMs, including drafting agendas, minutes, and resolutions.
  • Advise the Board and senior management on corporate governance best practices.
  • Handle share issuance, transfers, and shareholder communications.
  • Support strategic transactions such as mergers, acquisitions, and restructuring from a secretarial standpoint.

Legal Compliance Duties:

  • Monitor and ensure compliance with applicable laws, rules, and regulations across business operations.
  • Draft, review, and manage legal documents including contracts, MOUs, NDAs, and service agreements.
  • Liaise with external legal counsel, regulatory bodies, and government authorities.
  • Provide legal support for litigation, arbitration, and dispute resolution matters.
  • Conduct internal audits and risk assessments related to legal and regulatory compliance.
  • Stay updated on changes in legislation and advise management on implications

Preferred candidate profile

  • Qualified Company Secretary (ACS/FCS) from ICSI and LLB/ LLM.
  • Minimum 10 years of experience in corporate secretarial and legal compliance roles.
  • Strong understanding of corporate law, contract law, and regulatory frameworks.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to manage multiple stakeholders and work independently.
  • Familiarity with secretarial software and legal research tools is an advantage.
