Designation: Assistant Manager Company Secretarial Experience Required: Minimum 2 years post qualification Location: Lower Parel, Mumbai Job Summary: Mahansaria Group, Mumbai, engaged in manufacture and distribution off-highway and two-wheeler tyres and related accessories is seeking a Compliance professional to provide corporate secretarial, compliance and legal support across our group. This role will report into CFO of Mahansaria Family office with Legal & Compliance team and is expected to handle the below mentioned duties and responsibilities and provide support to the Legal & Compliance Team. The ideal candidate will be expected to effectively manage these tasks and contribute to the overall efficiency of the Legal & Compliance Team. Duties and Responsibilities: Secretarial Function Overseeing and managing all Secretarial compliances of the group entities, including but not limited to: 1. Corporate Governance: a. Ensure compliance with all the applicable corporate secretarial matters pertaining to Board meeting AGMs, EGMs, ROC, RBI, FDI and such other regulators as per the Companies Act, 2013. b. Liaise with Regulatory departments including MCA, ROC, NSDL/ CDSL, Banks, Stock Exchanges, SEBI and external regulators and advisers such as lawyers, banks and auditors. 2. Board Support: a. Draft agendas, notices, Minutes for convening Board Meetings, shareholding meetings, or committee meetings of the Company. b. Handle correspondence and collate information to maintain and manage effective stakeholder relations and communications. 3. Regulatory Filings: a. Oversee the preparation and timely filing of all statutory documents, including annual returns and other mandatory regulatory submissions, ensuring that , Manage and execute any event based filings required by ROC, RBI, or other authorities. 4. Documentation and Record-Keeping: a. Maintain in all completeness the statutory records, books, registers and timely compliance of all statutory and corporate secretarial and governance filings and reporting. 5. Transaction Support a. Assistance in transaction support on cross-border transactional issues while adhering to FEMA, RBI, and FDI regulations. b. Assisting in transaction supports like legal due diligence, fund raise activities, Banking Documentation, strategic activities and supporting closure of transactional document etc, others w.r.t to mergers, amalgamation etc. 6. Compliance Management a. Assisting in overall compliances of the Company including group entities with all applicable laws, regulations, and guidelines related to company operations. b. Monitor and report changes in relevant laws and regulations to senior management and board of directors. Job Requirements: 1. Qualified Company Secretary, minimum 2 years of post-qualification work experience in Corporate secretarial, and transactions. 2. Having good drafting skill and competencies in corporate and commercial laws such as Companies Act, LLP Act, IBC, FEMA, FDI, SEBI, and other relevant regulations. 3. Ability to prioritize multiple projects under strict deadlines and ability to multi-task and handle highly confidential information. 4. String knowledge in Regulatory Framework. 5. Proficient in Microsoft Office applications (MS Word, MS Excel, MS PowerPoint) 6. Self-starter with strong project management, analytical and organizational skills. 7. Strong verbal and written communication, interpersonal and presentation skills to effectively work with the team. 8. Demonstrated enthusiasm and willingness to learn, Diligent and meticulous, Collaborative, Knowledge of general corporate formalities and corporate secretary requirements. 9. Strong interpersonal skills and diplomatic.
