Job Description

Key Responsibilities


1. Company Law Compliances

  • Ensure complete compliance with the Companies Act and allied regulations.
  • Prepare, file, and register statutory documents, forms, returns, and applications with MCA.
  • Maintain statutory records, registers, and books of the company.
  • Draft and prepare notices, agendas, and supporting documents for Board, Committee, and General Meetings; prepare minutes and maintain records.
  • Manage annual filings and other related statutory documentation.
  • Collate and maintain data on company-wide statutory compliances.
  • Handle event-based compliances including CSR provisions, MSME filings, Deposits Rules, Internal Audit, Charges, Cost Audit, etc.
  • Ensure implementation of new legal and regulatory requirements as they arise.

2. FEMA Compliances

  • File Annual Return on Foreign Assets & Liabilities (FLA) with RBI.
  • Ensure compliance with RBI’s Single Master Form (SMF) and Entity Master Form (EMF) requirements.
  • Comply with RBI’s Legal Entity Identifier (LEI) requirements.
  • Handle other FEMA and RBI-related compliances as applicable.

3. Legal & Contractual Matters

  • Draft, review, and vet contracts, agreements, MoUs, deeds, powers of attorney, affidavits, undertakings, and other legal documents.
  • Manage and maintain the central repository of contracts and agreements.
  • Review and draft terms and conditions for purchase orders and commercial contracts.
  • Respond to legal notices and assist in dispute resolution.

4. Other Responsibilities

  • Support Transfer Pricing and Country-by-Country Reporting (CbCR) compliance under the Income Tax Act.
  • Assist in compliance with Anti-Sexual Harassment (POSH) Act requirements and Package Scheme of Incentives (PSI).
  • Draft resolutions, minutes, correspondences, and other official communications.
  • Assist in preparation of banking documentation for loan renewal and related compliance.


Qualifications & Skills

  • Qualified

    Company Secretary (CS)

    from the Institute of Company Secretaries of India (ICSI).
  • Minimum 8 years of experience in corporate secretarial, legal, and compliance roles (manufacturing industry experience preferred).
  • Strong knowledge of

    Companies Act, FEMA, RBI compliances, and other statutory legislations

    .
  • Experience in drafting and vetting contracts, agreements, and legal documentation.
  • Excellent communication, drafting, and organizational skills.
  • Ability to manage multiple priorities and meet compliance deadlines.
