Job Description

Job Title: Company Secretary

Department

Key Responsibilities:

Ensure compliance with all statutory and regulatory requirements under the Companies Act and other applicable laws.
Manage Board and General Meetings: preparation of agenda, notices, resolutions, and minutes.
Maintain statutory books, including registers of members, directors, and secretaries.
File necessary documents with the Registrar of Companies (ROC), SEBI, and other regulatory authorities.
Advise the board on corporate governance and legal matters.
Ensure the companys adherence to corporate policies, ethics, and best practices.
Liaise with auditors, regulators, and external legal advisors.
Draft and review legal documents, contracts, and other agreements.
Monitor changes in relevant legislation and regulatory environment and take appropriate action.
Oversee secretarial work related to shareholding structure, dividends, ESOPs, etc.

What Were Looking For:

Qualified Company Secretary (Member of ICSI).
07-12 years of relevant post-qualification experience (as per seniority).
Strong knowledge of corporate laws, governance practices, and compliance procedures.
Excellent written and verbal communication skills.
High attention to detail and strong organizational skills.
