Job Description

As a Senior Manager - Corporate Affairs in the IT/Computers-Software industry, your main role will be to evolve and institutionalize Corporate Governance practices in accordance with globally accepted standards. This includes implementing policies such as code of conduct, whistleblower policy, and policy on prevention of insider trading. You will also be responsible for measuring and reporting the effectiveness of Corporate Governance practices, acting as a Risk Coordinator in Enterprise Risk Management, and ensuring compliance with local laws in countries where the company has business presence. Key Responsibilities: - Implement Corporate Governance practices such as code of conduct, whistleblower policy, and policy on prevention of insider trading - Measure and report the effectiveness of Corporate Governance practices - Act as Risk Coordinator in Enterprise Risk Management by identifying, prioritizing risks, drawing mitigation plans, maintaining risk register, and convening meetings - Track, report, and monitor compliance with local laws in countries where the company operates - Engage with external advisors to understand Corporate Governance norms and develop implementation plans - Update senior management on recent developments in Corporate Governance norms - Provide training to company staff on Corporate Governance and Risk Management practices - Participate and contribute to capital raising initiatives and cross-border transactions Qualifications Required: - Member of the Institute of Company Secretaries of India (ICSI) and/or Member of the Institute of Chartered Accountants of India (ICAI) with 7-10 years of post-qualification experience - Proficiency in MS Office (Word, Excel, PowerPoint), Outlook, Oracle ERP accounting packages - Leadership, social, and interpersonal skills - Degree in law will be an added advantage In this role, you will report to the Vice President Corporate Affairs. Your skills in Corporate Governance, Corporate Affairs, and IPO Management will be essential to excel in this position. If you possess a deep understanding of governance and risk management practices, excellent interpersonal and communication skills, leadership abilities, analytical skills, and the ability to work independently when needed, you are the ideal candidate for this role at August Infotech.
