Overview

Senior Manager Compliance & Legal

The position demands close collaboration with Founders, Business Heads, and cross-functional teams to develop scalable legal frameworks that support the companys growth trajectory while ensuring strict adherence to applicable laws and regulations.

Role & Responsibilities :

1. Legal Advisory & Governance

• Serve as a trusted legal advisor to leadership on matters involving business operations, compliance, regulatory frameworks, labor law, and commercial risk.
• Lead and oversee legal activities across group entities, covering corporate law, commercial contracts, employment law, data privacy, intellectual property, and labour law compliance.
• Develop and implement group-wide legal policies, SOPs, and governance frameworks to ensure consistent compliance and risk management.
  

Contract Management

• Draft, review, negotiate, and finalise a broad spectrum of contracts, including customer agreements, vendor contracts, shareholder/investor documents, NDAs, and service-level agreements.
  
• Ensure contracts are compliant with applicable laws and structured to safeguard business interests across entities.
  

Regulatory & Compliance Management

• Oversee adherence to all relevant Indian laws and sectoral regulations (Companies Act, FEMA, SEBI, RBI, Labour Laws, IT/Data Protection laws, etc.).
  
• Monitor and ensure timely statutory filings, board resolutions, and regulatory submissions across all group entities.
  
• Drive awareness and training initiatives to strengthen compliance culture within the organisation.
  

Litigation, Disputes & External Counsel Coordination

• Liaise with external legal counsel for ongoing litigation, disputes, and regulatory inquiries.
  
• Manage and track legal proceedings to ensure effective representation and timely resolution.
  

Strategic Support & Transactions

• Support M&A and fundraising activities, due diligence exercises, and ESOP structuring.
  
• Provide legal support on corporate restructuring, investor relations, and cross-border transactions where applicable.

Desired Skills & Qualifications

Educational Qualification:

• LLB and Company Secretary (CS) qualification are mandatory.
  

• Experience:

  810 years of post-qualification experience in legal and compliance roles, preferably within tech-driven or digital businesses.
• Proven expertise in managing legal and compliance functions across multi-entity/group structures or holding companies.
  
• Strong understanding of Indian regulatory and commercial laws including company law, contract law, employment law,

  labor law

  , and data protection regulations.
• Experience in handling technology-related legal matters such as SaaS agreements, IP protection, data privacy frameworks, and platform policies.
  
• Excellent drafting, negotiation, and interpersonal skills, with the ability to influence and collaborate across senior leadership levels.
  
• Ability to thrive in a fast-paced, high-growth, and evolving startup ecosystem.
  

Preferred Experience

• Exposure to high-growth technology companies or startups.
  
• Experience in ESOP structuring, investor relations, and fundraising documentation.
  
• Desired Skills & Qualificationsstransactions, export compliance, and global data privacy regulations (e.g., GDPR).
  
• Working knowledge of U.S. legal and compliance frameworks will be an added advantage.
