Job Description

As a Company Secretary, your role will involve maintaining statutory books and registers to ensure the company's compliance with legal and regulatory requirements. You will be responsible for organizing and preparing agendas and papers for board meetings and annual general meetings (AGMs), taking minutes, drafting resolutions, and lodging required forms and annual returns with regulatory authorities. Additionally, you will advise the board of directors on their roles and responsibilities, monitor changes in relevant legislation and regulatory environments, and communicate effectively with regulatory bodies, lawyers, auditors, and shareholders. You will also manage policies related to corporate governance and compliance frameworks, as well as oversee the reporting of company performance to stakeholders. Key Responsibilities: - Maintain statutory books and registers - Ensure company compliance with legal and regulatory requirements - Organize and prepare agendas and papers for board meetings and AGMs - Take minutes, draft resolutions, and lodge required forms and annual returns with regulatory authorities - Advise the board of directors on their roles and responsibilities - Monitor changes in relevant legislation and regulatory environments - Communicate with regulatory bodies, lawyers, auditors, and shareholders - Manage policies related to corporate governance and compliance frameworks - Oversee the reporting of company performance to stakeholders Qualifications Required: - Bachelor's degree in Law, Business Administration, or related field - Professional qualification such as ICSA (Institute of Chartered Secretaries and Administrators) preferred - Proven experience as a Company Secretary or similar legal role - In-depth knowledge of corporate laws and regulations - Familiarity with corporate governance best practices - Excellent communication and interpersonal skills - Strong organizational and multitasking abilities - Attention to detail and accuracy - Proficient with regulatory filing procedures - Analytical and problem-solving skills - Proficiency in Microsoft Office Suite and compliance management software Please note that the job types available for this position include Full-time, Part-time, Permanent, and Fresher.
