Job Description

Our Client, an Infrastructure Finance Company is looking to hire a Legal Counsel for their Mumbai office. An ideal candidate should have a PQE of 4-5 years. Job Responsibilities: Evaluate infrastructure/project loan proposals to identify legal risks and recommend mitigation strategies where feasible. Highlight and advise on key risks in proposals under evaluation, working closely with credit, risk, and business teams. Draft/review, negotiate, and finalize key transaction documents, including term sheets, loan agreements, debenture trust deeds, mortgage/pledge/hypothecation agreements, guarantees, undertakings, and other security documents. Assessment of security creation, perfection processes, and reviewing title search reports to identify and mitigate legal risks. Draft, negotiate, and finalize ancillary agreements including non-disclosure agreements, vendor contracts, and service agreements. Advise internal stakeholders on regulatory and compliance requirements relevant to NBFC operations and infrastructure project financing. Liaise with external counsel, advisors, and consultants to ensure timely delivery and closure of transactions, and effective resolution of legal matters involving the Company.
