Job Description

Responsibilities:

 Incorporation of Public & Private companies (including foreign company’s subsidiaries)/

OPC (One Person Company) ;

 Well exposed to Annual compliance during the financial year like Preparation Annual

report, filing various e-forms to ROC, SEBI, etc.

 Documents, registers, reports and returns as required under the companies act, various

other statutory acts, rules & regulations and ensuring compliance with corporate

governance

 Statutory records and filings under Companies Act and SEBI & Stock Exchange

requirements

 Striking off Name of companies through Fast Track exit mode; & Drafted and vetted

commercial agreements, non-disclosure agreements, vendor agreements;

 Handled & Conducted Board and Shareholders Meetings of Client Companies including

video conferencing meeting, in accordance with governing regulations and company’s own

secretarial practices, processes; - Drafting / vetting of various board/committees and

general meetings documents such as notices, agenda papers, resolutions including post

meeting compliances/ follow up matters;

 Creation and maintenance of secretarial records/registers including maintenance of Minute

Books as per Secretarial Standards issued by ICSI, Board’s Report, Annual report,

Corporate Governance report;

 Various reporting and E-Filling of Various Statutory forms, Reports and returns of

Companies and LLPs’ with ROC including Conversion of Loan into Equity, DIN

Applications, DIN KYC, cancellation of the duplicate DIN Nos., DSC Applications,

Change of Key Management of Company, Investor Education and Protection Fund [IEPF];

 Preparation of Search Report and Secretarial Audit Report.Share transfer and share

transmission including offline transfer of demat shares including interaction with

NSDL/CDSL.

 Co-ordinating with the Registrar and Share Transfer Agents and shareholders with respect

to demat, transmission, duplicate issue, etc

 Co-ordinating with Statutory Auditors and Practising Company Secretaries with respect to

half yearly and year end audit.

 Revenue generation from the assigned clients

 Team handling

 Indepth knowledge of the industry’s standards and regulations

 Excellent knowledge of reporting procedures and record keeping

 Methodical and diligent with outstanding planning abilities

 Excellent communication skills


Requirement

 Minimum 5+ years proven experience as Manager in an PCS firm experience

 Qualified Company Secretary / Semi qualified CS - Qualification (7+ years experience needed )
