Head Legal Company Secretary

Advise the Board of Directors and Senior Management on legal, regulatory, and

corporate governance matters

Prepare, review, and file IPO-related documents and disclosures including Prospectus,

Listing Applications, and other statutory forms

Coordinate with investment banks, auditors, lawyers, and other external stakeholders

involved in the IPO process

Manage IPO due diligence, valuation coordination, pricing, and allocation of shares

Prepare Notices, Agenda, and Minutes for Board Meetings and Shareholders’

Meetings

Maintain statutory registers and records as required under the Companies Act, 2013

Handle filings with ROC, RD, and other relevant statutory authorities

Ensure compliance with RBI regulations, FEMA, ODI, and other foreign exchange

laws

Ensure compliance under SEBI (LODR) Regulations and other applicable SEBI

requirements

Manage charge creation, modification, and satisfaction, including related filings

Oversee compliance with the Companies Act and other applicable laws, tracking

overall compliance status

Draft, review, and negotiate agreements and other legal documents

Maintain executed agreements and track validity, renewals, and obligations

Liaise with statutory authorities, external consultants, lawyers, and regulators

Handle litigation matters, if any, and coordinate with legal counsels

Monitor notices received from statutory authorities and ensure timely and appropriate

action

Prepare and present monthly compliance status reports to management

Advise management and internal teams on applicable laws, regulatory changes, and

amendments from time to time
