Role & Responsibilities

  • Lead and execute a diverse range of ECM transactions, including

    IPOs (Main Board),

    Qualified Institutional Placements (QIPs), Preferential Issues, Rights Issues, and Buybacks.
  • Oversee end-to-end deal execution, ensuring compliance with regulatory frameworks and seamless coordination across teams.
  • Provide strategic advisory services to clients on capital market transactions, leveraging in-depth market knowledge and financial acumen.
  • Draft, review, and vet various legal documents such as Share Subscription Agreements, Shareholders' Agreements, Term Sheets, Information Memorandums, Teasers, NDAs, and Engagement Letters.
  • Conduct thorough due diligence processes and manage pre/post-transaction activities.
  • Demonstrate proficiency in analyzing company financials, including restated financial statements (Balance Sheet, P&L), and computing financial ratios.
  • Stay updated with developments in Securities Laws, SEBI ICDR regulations, and the Companies Act, ensuring the team remains informed of relevant amendments.
  • Utilize MS-PowerPoint, MS-Word, and MS-Excel for effective communication, documentation, and presentation purposes.
  • Understand clients' business and economic landscapes to provide tailored financial solutions.
  • Exhibit strong leadership and team management skills to guide and mentor junior team members.
  • Apply a blend of analytical thinking and operational execution to drive successful outcomes.


Qualifications & Experience

  • Professional qualifications: Company Secretary (CS), Chartered Accountant (CA), and LLB.
  • 4–12 years of experience in the Equity Capital Markets domain

    (Main Board – IPOs).

  • In-depth knowledge of Securities Laws, SEBI ICDR regulations, and the Companies Act.
  • Experience in managing compliance work related to capital markets, Mergers & Acquisitions, and providing advisory mandates.
  • Proficiency in drafting and reviewing legal documents pertinent to ECM transactions.
  • Strong understanding of company financials and the ability to compute financial ratios.
  • Proficiency in MS-PowerPoint, MS-Word, and MS-Excel.
  • Demonstrated leadership and team management skills.
  • Ability to comprehend clients' business and economic landscapes to better cater to their needs.
