Job Description: Company Secretary – Listed Entities
Position: Company Secretary (CS) – Listed Entities
Experience: 4–5 years
Qualification: Company Secretary (CS)
Location: Mumbai
Role Overview
We are seeking a qualified Company Secretary with experience in handling compliances and secretarial functions for listed companies. This role requires strong expertise in regulatory compliance, SEBI/stock exchange filings, board management, and support in corporate governance matters. Candidates with prior exposure to IPO launch processes will be preferred.
Key Responsibilities

Regulatory & Statutory Compliance
  • Ensure compliance with all provisions under the Companies Act 2013, SEBI (LODR), and other applicable laws.
  • Manage stock exchange filings including corporate announcements, disclosures, shareholding patterns, and financial results.
  • Monitor changes in regulatory environment and implement necessary compliance updates.

Board & Committee Support
  • Organize, convene, and record minutes of Board Meetings, General Meetings, and Committee Meetings (Audit, Nomination & Remuneration, CSR, etc.).
  • Draft agendas, notices, resolutions, and maintain statutory registers.
  • Ensure timely filing of necessary returns with ROC, SEBI, and Stock Exchanges.

Secretarial Activities
  • Maintain statutory books and records in compliance with legal requirements.
  • Liaise with regulators, auditors, and stakeholders on compliance matters.
  • Provide secretarial support for corporate actions such as mergers, acquisitions, and restructuring.

IPO & Capital Market Support
(Preferred Exposure)
  • Assist in IPO process, including drafting of offer documents, coordination with regulators, merchant bankers, and stock exchanges.
  • Ensure end-to-end compliance in relation to listing requirements, due diligence, and disclosure norms.

Desired Candidate Profile
  • Qualified Company Secretary with 4–5 years of relevant experience in listed entities.
  • In-depth knowledge of Companies Act, SEBI regulations, and Listing Obligations.
  • Strong drafting, communication, and stakeholder management skills.
  • Candidates with experience in IPO launch or capital market transactions will be preferred.
  • Ability to work independently and ensure 100% compliance across multiple listed entities.
