The role will be responsible for managing technology contracts, statutory compliance, regulatory risk, data protection obligations, and corporate governance, while supporting business teams with practical, business-aligned legal solutions.This role is strictly India-law focused and requires hands-on experience with Indian regulatory frameworks relevant to IT and software businesses.Key ResponsibilitiesContract ManagementDraft, review, negotiate, and manage:Software Licensing AgreementsSaaS AgreementsMaster Service Agreements (MSA)Statements of Work (SOW)NDAs, Vendor Agreements, API & Integration AgreementsReseller, Distributor, and Partnership AgreementsEnsure enforceability and compliance under the Indian Contract Act, 1872.Identify and mitigate contractual risks related to IP, data protection, liability, indemnity, limitation of liability, and payment terms.Provide contract support to Sales, Procurement, and Business teams.Compliance & Regulatory:Ensure compliance with applicable Indian laws, including:Information Technology Act, 2000Digital Personal Data Protection Act, 2023 (DPDP Act)Companies Act, 2013FEMA & RBI RegulationsLabour Laws (Shops & Establishments Act, POSH Act, Contract Labour)Intellectual Property Laws (Copyright, Trademark)Develop and implement internal compliance frameworks, policies, and SOPs.Conduct periodic compliance audits and risk assessments.Track and advise on regulatory changes impacting software and IT companies.Data Protection & Cyber Law:Lead compliance related to data protection, privacy, and cybersecurity.Draft and review Privacy Policies, Terms of Use, Data Processing Agreements (DPA), and consent frameworks.Coordinate with IT and security teams for incident response, breach management, and regulatory reporting.Act as a point of contact for regulators, auditors, and external counsel on data protection matters.Corporate Governance & Risk Management:Support corporate governance requirements under the Companies Act, 2013.Assist with board resolutions, statutory filings, and regulatory disclosures.Support legal due diligence for investments, mergers, acquisitions, and strategic partnerships.Liaise with external counsels, auditors, and consultants.Mandatory Qualifications:LL.B.
