As a Company Secretary & Legal Officer at our company, you will play a crucial role in ensuring regulatory compliance, managing corporate governance, and providing legal support. Your responsibilities will include: - Ensuring compliance with the Companies Act, SEBI regulations, and other statutory requirements. - Organizing and managing Board Meetings, AGMs, and Committee Meetings by preparing notices, agendas, and drafting minutes. - Maintaining all statutory registers and company records. - Handling ROC filings, annual returns, and other statutory forms through the MCA portal. - Drafting board resolutions, shareholder agreements, and internal policies. In terms of legal compliance and corporate law, you will be responsible for: - Reviewing and drafting legal agreements, contracts, NDAs, MoUs, and other documentation. - Liaising with external legal counsel and regulatory authorities when required. - Providing legal opinions and guidance to the management on corporate structuring, mergers, and compliance issues. - Monitoring compliance with applicable laws and keeping the company updated on legal developments. Additionally, you may also be involved in: - Handling intellectual property filings if required. - Assisting in due diligence for fundraising, audits, or mergers/acquisitions. - Supporting finance and HR teams in statutory audits and employee compliance. Qualifications required for this role: - Qualified Company Secretary (CS) with membership with ICSI. - 25 years of relevant experience in a similar role. Skills & Competencies needed: - In-depth knowledge of Company Law, Corporate Governance, and Secretarial Standards. - Strong drafting, communication, and organizational skills. - High attention to detail and ability to manage confidential information. - Proficiency in MCA21, SEBI, FEMA, and other compliance portals/tools.
