About the Role

We are seeking a qualified and dynamic Company Secretary to join our cybersecurity organization. The role involves managing corporate governance, legal compliance, and regulatory filings while aligning with the specialized requirements of the IT & cybersecurity domain. The candidate should have strong knowledge of corporate law, board processes, and a keen understanding of data protection and cybersecurity-related regulations.

Key Responsibilities

• Ensure compliance with Companies Act, SEBI, MCA/ROC filings, and corporate governance frameworks.
• Draft, review, and manage Board and Committee meeting agendas, minutes, and resolutions.
• Handle legal drafting and contract management, including NDAs, MoUs, vendor contracts, and service agreements.
• Advise management on corporate structuring, fundraising, and compliance strategies.
• Oversee compliance with data privacy and cybersecurity laws (DPDPA, GDPR, IT Act 2000, CERT-In guidelines, etc.).
• Ensure incorporation of cybersecurity and confidentiality clauses in vendor/client contracts.
• Maintain statutory records, registers, and ensure accurate regulatory filings.
• Assist in IPR management – trademarks, copyrights, and licensing of IT solutions/software.
• Coordinate with auditors, regulators, and legal consultants as required.
• Act as a governance advisor to the leadership team with focus on risk management, IT compliance, and cyber law updates.

Key Skills & Competencies

• Strong knowledge of Company Law, SEBI guidelines, and corporate governance practices.
• Hands-on experience in legal drafting, compliance filings, and stakeholder management.
• Familiarity with data protection laws (GDPR, DPDPA), IT Act 2000, and global compliance frameworks (ISO 27001, SOC 2).
• Excellent communication, analytical thinking, and attention to detail.
• Ability to balance corporate compliance with the unique demands of the cybersecurity industry.

Qualifications

• Member of the Institute of Company Secretaries of India (ICSI).
• Additional certifications in Corporate Law / Cyber Law / Data Privacy / Compliance will be an advantage
