Job Description

Position Overview

The Company Secretary is responsible for ensuring corporate governance, statutory compliance, and regulatory adherence in line with the Companies Act, SEBI regulations, and other applicable laws. The role acts as a key liaison between the Board, management, regulators, and stakeholders.








Key Responsibilities

Corporate Governance & Board Management


  • Organize and manage Board, Committee, and General Meetings (AGM/EGM)

  • Prepare agendas, notes, minutes, and action trackers

  • Ensure compliance with Secretarial Standards (SS-1 & SS-2)

  • Advise the Board on governance best practices and statutory obligations

Statutory & Regulatory Compliance


  • Ensure compliance under the Companies Act, 2013, rules, and amendments

  • Handle filings with MCA, ROC, and other statutory authorities

  • Manage compliance with SEBI (LODR) Regulations (for listed entities)

  • Ensure timely filing of annual returns, financial statements, and disclosures

Legal & Secretarial Documentation


  • Draft, vet, and maintain corporate documents including resolutions, policies, and registers

  • Maintain statutory registers, minutes books, and corporate records

  • Coordinate with external professionals (auditors, legal counsel, consultants)

Shareholder & Investor Relations


  • Handle shareholder communications, queries, and grievances

  • Coordinate share allotments, transfers, ESOP administration, and dividends

  • Support investor relations activities, disclosures, and reporting requirements

Compliance Monitoring & Risk Management


  • Track changes in corporate, securities, and commercial laws

  • Conduct internal compliance audits and secretarial audits

  • Identify compliance risks and recommend corrective actions

Support to Business & Management


  • Support management in fund-raising, M&A, joint ventures, and restructuring activities

  • Draft and review agreements, MOUs, NDAs, and policies in coordination with legal teams

  • Advise on regulatory implications of business initiatives

Policy Framework & Ethics


  • Develop, implement, and monitor company policies including Code of Conduct, Insider Trading, Whistleblower Policy, and CSR Policy

  • Ensure ethical standards and transparency across the organization










Qualifications & Skills

  • Member of the Institute of Company Secretaries of India (ICSI)

  • Bachelor s degree in Commerce, Law, or related field (LLB preferred)

  • 12-14 years of relevant experience (listed company experience preferred)
