Department: Legal & Compliance

Reports To: Managing Director / CFO / Board of Directors

Experience Required:5+ years (depending on seniority level)

Education: Qualified Company Secretary (ICSI); LLB preferred but not mandatory

Job Summary:

We are looking for a qualified and experienced Company Secretary (CS) to manage the companys statutory, legal, and regulatory compliance in accordance with the Companies Act and other applicable laws. The ideal candidate will have experience working in the manufacturing or sugar industry and possess a strong understanding of corporate governance, SEBI regulations (if applicable), and industry-specific compliance issues.

Key Responsibilities:

1. Statutory Compliance

Ensure timely compliance with the Companies Act, 2013 and related corporate laws.

Conduct Board meetings, AGMs, and Committee meetings as per legal requirements.

Draft notices, agendas, minutes, and resolutions.

2. Corporate Governance

Advise the Board and senior management on good governance practices and ethical standards.

Maintain statutory registers and ensure filing of ROC returns and forms (MGT, AOC, DIR series, etc.).

3. Legal & Regulatory Compliance

Liaise with government departments (ROC, MCA, SEBI, etc.) for various statutory approvals and filings.

Ensure compliance with industry-specific regulations (like sugar control orders, ethanol blending mandates, etc.).

Assist in legal matters such as land documentation, factory licenses, and labor laws relevant to sugar manufacturing.

4. Secretarial Audit

Conduct internal secretarial audits and support external audits.

Prepare secretarial compliance reports and certifications under applicable rules.

5. Contract Management & Legal Drafting

Draft, vet, and manage contracts, MOUs, NDAs, vendor agreements, and other legal documents.

Handle legal notices, disputes, or litigations in coordination with external counsel.

6. Liaison & Representation

Represent the company in regulatory meetings or with government bodies.

Handle coordination with external stakeholders, legal consultants, and statutory auditors.

Key Skills & Competencies:

Strong understanding of Companies Act, 2013, SEBI regulations (if listed), FEMA, and Industrial Acts.

Knowledge of sugar industry operations, compliance issues, and state-specific agricultural policies.

Excellent drafting, communication, and interpersonal skills.

Ability to work independently and manage multiple stakeholders.

Preferred Qualifications:

CS + LLB (preferred)

Experience in sugar, distillery, ethanol, or FMCG sectors will be an added advantage.

Familiarity with ERP systems, MCA portal, and e-filing procedures.
