Purpose of the job: A company secretary is a vital link between the company and its Board of Directors, shareholders, government and regulatory authorities. Roles and Responsibilities: Oversee corporate governance practices and ensure compliance with statutory and regulatory requirements Organise and manage board meetings, including preparing agendas, minutes, resolutions and assign action tasks Maintaining the statutory registers including the register of members. Ensuring that statutory forms are filled promptly Custody and use of the company seal. Liaise with external advisors and vendors as may be necessary Other Duties: To ensure that meetings comply with the organisation governing document and its procedures To maintain records including past and present office bearers To ensure that publications such as annual reports and accounts, and their dissemination, comply with the organizations governing document and statutory requirements.
