Job Description

Prepare and file ROC forms (MGT-7, AOC-4, DIR-3 KYC, PAS-3, etc.)
Maintain statutory registers and records
Draft board and shareholder meeting documents (notices, agendas, minutes, resolutions)
Assist in incorporation, conversion, and strike-off of companies and LLPs

FEMA & RBI Compliance

Handle
FCGPR
filings for reporting foreign direct investment (FDI)
Prepare and submit
Annual Performance Reports (APR)
for overseas direct investments
Ensure compliance with
FEMA regulations
, including ODI, ECB, and share transfers involving non-residents
Liaise with banks and authorized dealers for AD code and RBI approvals

Client Coordination & Advisory

Communicate with clients for data collection, document execution, and compliance updates
Assist in secretarial audits and due diligence
Monitor regulatory changes and update internal trackers

Candidate Profile:

Category Requirements

Qualified CS

CS Dropout

Skills & Attributes

Strong knowledge of Companies Act, FEMA, and RBI reporting frameworks
Experience with MCA portal, RBI FIRMS portal, and compliance software
Good drafting and communication skills
Proficiency in MS Office and Google Workspace
Ability to manage multiple clients and deadlines

Working Conditions
