Mission description The Company Secretary (CS) will provide the company with compliance to all the applicable regulations, laws, regulations, standards and codes while upholding the organisation's values at all times. CS is notably responsible for conducting all the meetings as per standards, so as to support the achievement of the Company's business goals. Reporting directly to the CFO, and working closely with all company stakeholders to ensure all compliances are undertaken in accordance with applicable regulations, so as to ensure any risk to the business is minimised. This position is based in Safran Aircraft Engine Services India Private Limited (SAESI), Hyderabad. Business trips may be required to travel to other parts of India and abroad, as per business needs. Main Function Responsibilities and Activities o Overall management and development of all aspects of CS for SAESI: Corporate Governance and Secretarial Services, Certifications and Returns o Support on all contractual, legal and statutory matters related to SAESI customers and Safran Hyderabad cluster affairs o Act a SAESI Trade Compliance Coordinator, supporting the implementation of SAFRAN anti-corruption program in SAESI Position responsibilities and activities Develop and deliver the end-to-end corporate governance functions at a highest standard; Raise and discuss corporate governance issues with the management; Escalating risks and issues to management, especially those relating to reputational risk; Ensure that all of the applicable laws, statutory and regulatory requirements are met without any deviation Assisting the chairman of the Board in preparing for and conducting all the meetings as per standards; Creating and updating annual board calendar; Holding all meetings in time and ensuring compliances on all aspects Coordinate with SAFRAN Counsel and Practicing Company Secretary for making sure all the applicable documents are appropriately prepared, signed and promptly submitted to appropriate agencies; Maintain 100% confidentiality on all the information Ensure audited financials and Director Reports are duly signed and distributed in accordance with applicable legislation and company articles of association; Facilitate all the activities related to new directors' induction and resignation of existing directors; Ensure required shares are calculated and issued as per the applicable regulations and all the required supporting documentation is available and archived; Ensure applicable RBI / FEMA reportings are made within time and as in appropriate manner; Advice, communicate and receive all the yearly returns from all the directors and all the returns are filed and appropriately archived; Advising the board on the applicable laws, regulations, standards, and codes relating to reporting of non-financial information Coordinate and follow-up subsidy applications with internal and external stakeholders Qualification: 1. Requires a Licence from The Instituteof Company Secretaries of India (ICSI) after completing 10+2 or Intermediate from any discipline, 2. Additional Degree or Diploma in the streams Finance /Law /Business Management or an equivalent combination of education and experience may be an added advantage, Competencies Thorough understanding of the Company Law 2013 to ensure legal compliance - Expert; Thorough understanding applicable laws, regulations, standards, codes, regulations and compliance requirements -Advanced; Extensive knowledge of contemporary CS practices and strategies Advanced; Ability to implement and lead organisational strategies in CS - Advanced; Ability to succeed in multiple roles without loosing focus Advanced Must possess the ability to comprehend legal language, ascertain the applicability, communicate, implement the required action and fulfill the legal obligations. - Advanced Ability to exercise sound judgment and make decisions in support of SAESI's objectives; demonstrated ability to bring new solutions to complex Company issues.
