About the Role

Ensure the company complies with all statutory, legal and regulatory requirements under the company's act and other applicable laws.

Responsibilities

• Handle company incorporation, drafting of memorandum and articles of association and amendments when required.
• Organise, prepare and record board meetings, committee meetings and annual general meetings including drafting notices, agendas and minutes.
• Maintain statutory registers, records and company filings with the registrar of the companies (ROC) and other authorities.
• Advice the board and management on corporate governance, secretarial standards and legal publications.
• Ensure timely filing of annual returns, financial statements and other regulatory forms.
• Coordinate with legal advisors, auditors and government bodies for various compliance matters.
• Assist in drafting and reviewing contracts, MOU's, joint venture agreements and property related legal documents.
• Monitor and ensure compliance with RERA regulations and other real estate specific laws.
• Support management in due diligence, mergers, acquisitions and restructuring activities.

Qualifications

• Qualified company secretary (member of ICSI)
• Bachelor's degree in commerce or law preferred
• Minimum 15 years of experience in company secretarial roles, preferably in real estate or construction industry.

Required Skills

• Strong knowledge of companies act 2013, RERA and other applicable laws.
• Excellent drafting, documentation and communication skills.
• Strong understanding of corporate governance and compliance frameworks.
• Attention to detail and ability to manage multiple statutory deadlines.
