Key Responsibilities:

  • Ensure compliance with Companies Act, SEBI regulations, and other applicable corporate laws.
  • Handle all secretarial work including board meetings, general meetings, preparation of notices, agendas, and minutes.
  • Filing of ROC forms, annual returns, and other statutory documents.
  • Maintain statutory registers and records as per legal requirements.
  • Liaise with regulatory authorities such as MCA, SEBI, BSE/NSE, NSDL/CDSL, etc.
  • Ensure timely disclosures and reporting to stock exchanges (if applicable).
  • Support in drafting of corporate policies, agreements, and resolutions.
  • Advise management on legal and compliance matters.
  • Monitor internal compliance frameworks and recommend improvements.
  • SDD Software & LODR Compliance.


Requirements:

  • Qualified Company Secretary (ACS/CS).
  • Strong knowledge of corporate laws, SEBI guidelines, and listing obligations.
  • Excellent communication, drafting, and interpersonal skills.
  • Ability to work independently and meet tight deadlines.
  • Prior experience in a listed company or IPO process (preferred but not mandatory).
