Job Description

Key Responsibilities:

Corporate Governance:

Advise the Board of Directors on governance best practices and regulatory compliance.
Ensure that decisions of the Board are implemented and documented properly.
Organize and prepare agendas, notices, and minutes for Board Meetings and Annual General Meetings (AGMs).
Assist in drafting resolutions and compliance reports.

Compliance Management:

Ensure compliance with the Companies Act, Securities and Exchange Board of India (SEBI) regulations (if applicable), and other relevant laws.
File annual returns, financial statements, and other statutory documents with the Registrar of Companies (ROC).
Maintain statutory registers and records (Shareholders Register, Board Meeting Minutes, etc.).
Monitor corporate filings and ensure deadlines are met.

Secretarial Functions:

Maintain the companys statutory books, including shareholding records and registers.
Handle share transfers, issue of share certificates, and dividend distribution processes.
Serve as the point of contact between the company, regulators, and shareholders.

Advisory Role:

Provide legal and regulatory advice on corporate matters, contracts, and compliance.
Assist in drafting legal documents, Memorandum & Articles of Association (MoA & AoA).
Stay updated on changes in corporate laws and advise management accordingly.
