Company Secretary (CS)


Key Responsibilities

  • Drafting and reviewing legal and secretarial documents, including Board resolutions, shareholder communications, agreements, and regulatory filings.
  • Organizing, preparing agendas for, and taking minutes of Board meetings, committee meetings, and general meetings.
  • Handling timely 

    ROC filings

     and ensuring compliance with 

    Companies Act, 2013

     and other applicable laws.
  • Liaising with 

    Directors, Consultants

    , and 

    Key Stakeholders

     to ensure smooth communication and timely action on governance matters.
  • Maintaining statutory registers and records as per legal requirements.
  • Providing support and guidance on corporate governance and best practices.
  • Coordinating with external legal advisors and regulatory bodies when needed.


Desired Skills & Competencies

  • Strong proficiency in 

    MS Word

     and 

    MS Excel

     for documentation, reporting, and tracking.
  • Excellent knowledge of 

    corporate laws

    SEBI regulations

    , and secretarial standards.
  • Efficiency in 

    drafting legal and secretarial documents

     with attention to detail.
  • Ability to manage confidential information with integrity and discretion.
  • Excellent communication and interpersonal skills to coordinate with senior management and stakeholders.
  • Ability to work independently and meet deadlines in a fast-paced environment.


Preferred Background

  • Prior experience in a listed or unlisted corporate environment.
  • Exposure to compliance, governance, and stakeholder management functions.
  • Familiarity with corporate filings, MCA portal, and ROC-related processes.
