Job Description

Role & responsibilities

Corporate Governance & Compliance

Ensure compliance with company law, regulatory requirements, and corporate governance standards
Advise the board and senior management on legal, governance, and compliance matters
Monitor changes in legislation and ensure company policies are updated accordingly

Board & Committee Support

Organize board and committee meetings (AGMs, EGMs, board meetings)
Prepare agendas, board papers, and minutes
Ensure board decisions are properly recorded and implemented

Statutory & Legal Duties

Maintain statutory registers (members, directors, shareholdings, etc.)
File annual returns, resolutions, and statutory documents with regulators
Ensure proper execution of contracts and legal documents

Shareholder & Stakeholder Relations

Act as the main point of contact for shareholders
Manage share issues, transfers, dividends, and shareholder communications
Coordinate with regulators, auditors, and external advisors

Preferred candidate profile

Education & Certification

Degree in Law, Business Administration, Finance, or related field
Professional qualification (e.g., Company Secretary certification) preferred

Skills & Competencies

Strong knowledge of corporate law and governance practices
Excellent organizational and communication skills
High attention to detail and confidentiality
Ability to work with senior executives and board members
Strong written documentation and record-keeping skills
